Terms of Service

1. Acceptance of Terms

By accessing or using Rex ("the Service"), operated by JSB Labs LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.

3. Description of Service

Rex is an AI-powered coaching platform that generates personalized training plans and daily coaching recommendations based on your fitness data, recovery metrics, and training history.

4. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

5. Subscription and Billing

Rex offers paid subscription plans billed monthly or annually. All subscriptions include a 14-day free trial. You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. Refunds are handled on a case-by-case basis.

6. Health Disclaimer and Assumption of Risk

Rex provides AI-generated training recommendations for informational and educational purposes only. The Service is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

You acknowledge that following any training recommendation, whether generated by Rex or otherwise, carries inherent risks including but not limited to: physical injury, overtraining, musculoskeletal damage, cardiac events, and aggravation of pre-existing conditions. You voluntarily assume all such risks.

Always consult with a qualified healthcare provider before starting or modifying any exercise program, particularly if you have pre-existing health conditions, injuries, or cardiovascular risk factors. You are solely responsible for determining whether any workout prescribed by Rex is appropriate for your current physical condition.

Rex uses artificial intelligence to generate coaching recommendations. While Rex bases every recommendation on your actual data, it does not have complete knowledge of your physical condition, health history, or environmental factors. You should exercise your own judgment, particularly when recovering from injury or managing a medical condition. The Service is not a substitute for professional medical advice.

7. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Share your account credentials with others
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or use automated means to access the Service beyond normal use

8. Intellectual Property

All content, features, and functionality of the Service are owned by JSB Labs LLC and are protected by copyright, trademark, and other intellectual property laws. Your training data remains yours. You grant JSB Labs LLC a non-exclusive, worldwide, royalty-free license to use your data solely to provide and improve the Service.

9. Third-Party Integrations

The Service integrates with third-party platforms (Garmin, Whoop, Strava, Apple Health, etc.). Your use of those platforms is governed by their respective terms of service. Rex is not responsible for the availability, accuracy, or security of third-party services.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. JSB Labs LLC does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content or data, including AI-generated recommendations, will be accurate, reliable, or complete.

11. Limitation of Liability

To the maximum extent permitted by applicable law, JSB Labs LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to personal injury, loss of data, loss of profits, or damages arising from your reliance on AI-generated recommendations, arising from or related to your use of the Service.

In no event shall the total liability of JSB Labs LLC exceed the greater of (a) the amount you paid to JSB Labs LLC in the twelve months preceding the claim, or (b) one hundred dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless JSB Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any injury or harm resulting from training activities undertaken in connection with the Service.

13. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in New York, New York, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against JSB Labs LLC.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. To the extent that litigation is permissible under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

15. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. Sections 6, 10, 11, 12, 13, and 14 shall survive termination.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
